Terms of Service

These Terms of Service ("Terms") apply to all users of services, software, and other products provided by Mono Inc. ("we," "us," or "our").

This English version is provided for convenience. If there is any conflict between this English version and the Japanese version, the Japanese version shall prevail.

1. Definitions

"Content" means text, audio, music, images, videos, software, programs, code, and other information.

"Service Content" means content that can be accessed through our services.

"Submissions" means posting, publishing, disclosing, providing, or sending content through our services.

"Submitted Content" means content submitted by users through our services.

"Separate Terms" means additional terms, guidelines, policies, or similar conditions that apply to specific services.

"Fees" means all charges, usage fees, subscription fees, and other costs related to use of our services.

"Subscription Service" means a service that allows users to use specified content or services for a specified period by paying consideration.

2. Use of Our Services

Users must agree to these Terms to use our services, regardless of whether fees or account registration are required.

Use of free services that do not require account registration constitutes agreement to these Terms.

If a user is a minor, the user must obtain consent from a parent or legal guardian.

If a user uses our services on behalf of a business, that business is also deemed to have agreed to these Terms.

Users use our services at their own responsibility.

3. Service Restrictions

We may limit use of our services to registered users, users above a certain age, or users who satisfy conditions we specify after identity verification or other procedures.

We may refuse use by antisocial forces, related parties, or users who abuse our services or cause trouble to third parties.

4. Account Information

Users who register an account must provide true and accurate information and keep it up to date.

Users may delete their account at any time.

All rights to use services that require an account expire when the account is deleted. Deleted accounts cannot be restored.

Accounts belong exclusively to the registered user and may not be transferred, lent, inherited, or otherwise disposed of by third parties.

5. Subscription Services

Users may use Subscription Services under conditions specified by us and must follow the applicable fees, payment methods, and Separate Terms.

Unless otherwise provided in Separate Terms, users may cancel a Subscription Service at any time, but the scheduled usage period will not be changed and purchases will not be canceled. Paid fees will not be refunded or prorated, except as required by law.

If cancellation is not completed by the specified date and time, the subscription period may renew automatically under conditions specified by us.

6. Advertising

We may display advertisements from us or third parties in our services.

7. No Emergency Calling

Our services do not provide a means to contact police, coast guard, fire department, or other emergency services.

8. Content

We grant users a non-transferable, non-sublicensable, non-exclusive right to use Service Content solely for use of our services.

If Service Content is subject to separate fees, periods, or conditions, users must comply with those conditions. Intellectual property rights in content do not transfer to users.

Users may not use Service Content beyond the intended use of our services, including reproduction, transmission, reposting, or modification.

9. User Data and Submitted Content

Users are responsible for backing up their own data and Submitted Content. We have no obligation to back them up.

Copyright in Submitted Content belongs to the user or the relevant copyright holder.

For Submitted Content posted to areas accessible by unspecified or multiple users, users grant us a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, screen, publicly transmit, display, distribute, transfer, lend, translate, adapt, publish, and sublicense such content.

If our services include functions that allow multiple users to edit content, users permit other users to edit their Submitted Content and agree not to exercise moral rights.

We may delete Submitted Content or restrict use of our services without prior notice if we determine that the content violates laws, these Terms, or that deletion or restriction is reasonably necessary for business operations.

10. Message Functions

Some services may provide message functions using electronic bulletin board systems. Where messages are viewable only by the sender, recipient, and us, we may view and delete messages as necessary under these Terms.

11. Authentication Information

Users must manage authentication information at their own responsibility. If operations are performed using registered authentication information, we may treat them as actions of the registered user.

If a person other than the registered user uses authentication information and fees arise, the registered user is responsible for those fees unless we acted intentionally or negligently.

12. Provision of Services

Users must prepare devices, operating systems, communication means, electricity, and other environments necessary to use our services at their own cost and responsibility.

We may suspend all or part of our services for maintenance, accidents, force majeure, system failures, excessive load, safety, public interest, or other reasons we reasonably determine necessary.

13. Warranty Disclaimer and Changes

We do not expressly or impliedly warrant that our services are free from defects, secure, reliable, accurate, complete, effective, suitable for a particular purpose, or continuously available.

We may change all or part of our services when the change conforms to users' general interests or when the change is reasonable in light of its necessity, suitability, and related circumstances.

14. Prohibited Reuse

Unless otherwise specified by us, users may not use our services or the data comprising them beyond their intended purpose. We may seek injunctions and claim profits gained through such acts.

15. Prohibited Acts

Users must not engage in the following acts:

(1) Violating laws, court judgments or orders, or binding administrative measures.

(2) Infringing intellectual property rights, privacy rights, reputation rights, or other rights of us or third parties.

(3) Posting excessively violent, explicit sexual, discriminatory, self-harm-related, drug-abuse-related, or otherwise antisocial content.

(4) Posting programs that damage or interfere with software or hardware used by other users.

(5) Interfering with our servers, networks, services, advertisements, or other users' use of our services.

(6) Reverse engineering, decompiling, disassembling, or otherwise attempting to analyze source code by improper means.

(7) Collecting, storing, disclosing, or providing third-party personal information or usage information without authorization.

(8) Sending spam or similar messages to an unspecified number of users.

(9) Exchanging service or content usage rights for cash, goods, or other economic benefits by methods not specified by us.

(10) Using our services for commercial activity, solicitation, harassment, defamation, religious solicitation, sexual activity, or purposes different from the intended purpose of the services.

(11) Using another user's account, impersonating others, spreading false information, or improperly obtaining or disclosing account or password information.

(12) Providing benefits to antisocial forces or cooperating with antisocial forces.

(13) Assisting or preparing any of the acts above, or any other act we reasonably determine inappropriate.

16. No Assignment

Users may not assign, transfer, lend, or otherwise dispose of their contractual status or rights and obligations under these Terms without our prior written consent.

17. Deletion and Suspension

We may delete data or content, suspend all or part of use, or delete accounts without prior notice if a user violates these Terms or Separate Terms, damages our credibility, is related to antisocial forces, does not use an account or service for one year, or if maintaining the contractual relationship becomes difficult.

18. Indemnification

If a user causes damage to us intentionally or negligently, the user must immediately compensate us for the damage upon our request.

19. Limitation of Liability

Except in cases of our intentional misconduct or gross negligence, we are exempt from liability regardless of the nature of the liability.

If the contract between a user and us is a consumer contract under the Consumer Contract Act, our liability for damages, except in cases of intentional misconduct or gross negligence, is limited to ordinary damages actually incurred and, for paid services, the amount of fees paid for the relevant service or one month of fees for Subscription Services.

20. Separate Terms

Specific services may be subject to Separate Terms. If these Terms conflict with Separate Terms, the Separate Terms prevail for the relevant service unless otherwise specified.

21. Third-Party Services

Our services may include services or content provided by third parties. The provider is responsible for such services or content, and their terms may apply.

22. Notices and Contact

We may notify users by posting in our services or website, or by other methods we consider appropriate.

Users should contact us through inquiry forms, designated email addresses, or other methods specified by us.

We generally respond to inquiries by message functions or email only.

23. Privacy

We respect users' privacy and handle personal information appropriately in accordance with our Privacy Policy.

24. Changes to These Terms

We may change these Terms when the change conforms to users' general interests or when the change is reasonable in light of its necessity, suitability, and related circumstances. We will announce or notify users of the change, the revised Terms, and the effective date. Revised Terms take effect from the effective date.

25. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. The Japanese version is the authoritative text. The Tokyo District Court has exclusive jurisdiction in the first instance over disputes arising from or related to our services.

26. Software Rules

These software rules apply to software we provide, including applications, widgets, APIs, SDKs, development tools, viewers, updates, fixes, replacements, and copies.

We may impose restrictions on software use, provide or terminate support or updates, and users must not reverse engineer software, use software for critical control systems, commercially exploit software without authorization, sell or license software without prior consent, abuse software, or use software outside its intended purpose.

All rights in software and executable files belong to us or our partners, except for rights that arise for users under copyright law in software components developed by users using our tools.

Software is provided without warranties, as stated in these Terms.
